These Terms and Conditions govern your usage of our service. These Terms and Conditions (“Terms”) govern the relationship between Priori (“Company”) and the website creator (“Creator”). By participating in the development and management of the Priori platform, the Creator agrees to comply with these Terms.

2. Scope of Work

  • The Creator will provide access to entertainment sources, including but not limited to movies, that will be made available on the Priori website.

  • The Creator is responsible for ensuring that all content provided is legally obtained and does not infringe on any copyright or intellectual property rights.

3. Subscription Requirement

  • Users must have a valid subscription to Priori in order to download and watch movies on the Priori App.

  • The Creator acknowledges that access to content will be restricted to subscribed users only.

4. Payments.

  • Priori will allocate the payment on a monthly basis based on the sum total of purchase made by the subscribers, and it will distribute the same on a monthly basis to the following:

  • 30% will be paid to the application.

  • 65% will be allocated to the content creator.

  • 5% will be retained as service fees.

5. Intellectual Property Rights.

  • Priori retains ownership of all intellectual property related to the platform, including branding, logos, and any proprietary technology.

  • The Creator grants Priori a non-exclusive, royalty-free license to use, display, and distribute the content provided for the duration of this agreement.

6. Confidentiality.

  • Both parties agree to maintain the confidentiality of all proprietary information exchanged during the term of this agreement.

  • This confidentiality obligation extends beyond the termination of this agreement.

7. Termination.

  • Either party may terminate this agreement with a notice period of 30 of days.

8. Liability and Indemnification.

  • Priori shall not be liable for any indirect, incidental, or consequential damages arising from the Creator’s content.

  • The Creator agrees to indemnify and hold harmless Priori from any claims, damages, or losses arising from the Creator’s content or actions.

9. Governing Law.

  • These Terms shall be governed by and construed in accordance with the laws of Miami, Florida.

10. Amendments.

  • Priori reserves the right to modify these Terms at any time. The Creator will be notified of any changes, and continued participation on the platform will constitute acceptance of the updated Terms.

ELIGIBILITY AND AGE RESTRICTION

1. ELIGIBILITY

a. General Eligibility: To access and use the Priori (the “Service”), you must have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet this requirement.

b. Account Creation: To create an account and access certain features of the Service, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.Age Restriction

a. Minimum Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Service. If you are under the age of 18, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

PAYMENTS

Subscription Service

Some of the Content made available on the Site can be availed only by registered Users who have registered under a subscription model (“Subscription User”). You may need to register Yourself on the Site to avail these services on a subscription model (“Subscription”). To become a Subscription User, You may be required to provide certain personal information to Priori and may be required to make payments (“Subscription Fee”) as per the applicable membership plan through a debit card, credit card, internet banking or through, e- prepaid wallet or other

payment method accepted by Priori (“Payment Method(s)”) that You opted for during registration. Priori will be using third party payment gateways to process and facilitate the payment of Your Subscription Fee to Priori. On successful registration to the Subscription, Priori will notify You of the same. Priori may offer different kinds of Subscription plans, each of these Subscription plans will be subject to different limitations and restrictions and the cost of each of these Subscription plans may vary.

Priori shall have the discretion to make certain Content that is a part of the Subscription available to You on more than one end user Compatible System concurrently. Priori shall also have the discretion to make certain Content that is a part of the Subscription available to You on not more than one end user device concurrently.

Billing

a. Payment Method: You must provide a valid payment method to subscribe to our service. We accept various payment methods, including credit cards, debit cards, and other payment options as indicated on our payment page.

b. Billing Cycle: Your subscription will be billed according to the billing cycle of the plan you select (e.g., monthly, quarterly, annually). Billing will occur at the start of your subscription period and will automatically renew at the end of each billing cycle unless you cancel your subscription.

c. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle, and you will be charged the applicable subscription fee for the renewal period unless you cancel your subscription before the renewal date.

Trial Periods

1. Free Trials: We may offer free trials or promotional periods. If you sign up for a free trial, you will not be charged until the trial period ends. To avoid charges, you must cancel your subscription before the end of the free trial period.

2. Trial Terms: The terms and conditions of free trials are provided at the time of sign-up. Failure to cancel your subscription before the trial period ends will result in a charge for the subscription fee.

Changes to Payment Information

a. Updating Payment Information: You are responsible for keeping your payment information up to date. If your payment method expires or is otherwise invalid, we may suspend or terminate your access to the service until you provide updated payment information.

b. Failed Transactions: If we are unable to process your payment for any reason (e.g., insufficient funds, expired credit card), we may suspend or terminate your subscription until payment is successfully processed.

Refunds

This license allows you to stream movies and other content available on the Service for your individual use.

b. Content Access: Your access to specific movies and content may be subject to the subscription plan or rental terms you have selected. You are granted access to content only during the subscription or rental period and only through the Service.

2.Restrictions on Use
